Item 1.02 Termination of a Material Definitive Agreement In connection with the New Facility, on June 2, 2026, the Company terminated its multi-currency unsecured $3.5 billion five-year revolving credit facility under the Amended and Restated 5 Year Credit Agreement, dated as of October11, 2023, among the Company, as borrower, the designated subsidiaries party thereto, as borrowers, Citibank, N.A., as administrative agent, and the lenders from time to time party thereto.

On June 2, 2026 the Company entered into the Credit Agreement as described under Item 1.01 above.
